This Agreement governs the Arsenale software, including Syntex OS, the agent runtime, and bundled model weights. The Appliance hardware is governed by the Terms of Sale. How we handle data is described in the Privacy Policy. You accept this Agreement at first boot of the Appliance; this page is the canonical published text.

1. Acceptance

This End User Licence Agreement ("Agreement") is a legal agreement between you, or the organisation you represent ("you"), and Arsenale Limited, a company registered in England and Wales (Company No. 17126962) with registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("Arsenale", "we", "us").

It covers the Arsenale software supplied with the Arsenale appliance (the "Appliance"), including Syntex OS, the agent runtime, bundled model weights, and any updates and documentation (together, the "Software").

By completing first-boot set-up, entering your licence key, or using the Software, you agree to this Agreement. If you do not agree, do not complete set-up, and return the Appliance under the Terms of Sale. If you are accepting on behalf of an organisation, you confirm you have authority to bind it.

Your use of the Software is also subject to the acceptable-use rules in clause 5 and to our Privacy Policy, which is incorporated into this Agreement by reference. Ownership of the Appliance hardware is governed by the Terms of Sale.


2. Licence grant

Subject to your compliance with this Agreement and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software on a single Appliance identified by its licence key, for your own personal or internal business purposes.

The Software is licensed, not sold. Except for the rights expressly granted here, all rights in the Software are reserved by Arsenale.


3. Licence key and activation

Each licence key (in the form ARSN-XXXX-XXXX-XXXX) authorises one Appliance. Where you purchase the optional annual licence, it entitles you to feature updates and the support tier described in your order. Security updates are provided for the period stated in the Terms of Sale and are not contingent on the annual licence for that period.


4. Restrictions

You will not, and will not permit any third party to:

Transferring the Appliance itself with the licence in place is permitted, subject to written notification to us and the recipient accepting this Agreement.


5. Acceptable use

You will not use the Software, or any output of it, for any unlawful or improper purpose, including:

You are responsible for verifying outputs before relying on them. AI-generated outputs may be inaccurate and must not be treated as professional advice.


6. Ownership

Arsenale

Arsenale and its licensors retain all right, title, and interest in the Software, including Syntex OS, the agent runtime, the model weights, all updates, and all intellectual property in them. Except for the licence in clause 2, no rights are granted to you.

You

As between the parties, you retain all right, title, and interest in: (i) your data, documents, prompts, and the substance of anything you process with the Software ("Content"); and (ii) the outputs generated for you. Arsenale claims no licence over your Content or outputs.


7. Your data and our data

7.1 Content stays on the Appliance

Content is processed locally on your Appliance. Arsenale does not collect, transmit, access, or store Content, and cannot read what you do with the Software. Content is never used to train or improve any Arsenale or third-party model.

7.2 Telemetry

Where enabled, the Software may transmit anonymous diagnostic and operational data ("Telemetry"): software and model version, error and crash codes with payload removed, anonymised feature-usage counts, performance and hardware-health metrics, and licence-validation signals. Telemetry contains no Content and no personal data, and is aggregated or anonymised before it leaves the Appliance. Our lawful basis is our legitimate interest in the security, support, and improvement of the Software.

7.3 Your control

Telemetry can be switched off at any time in Appliance settings. The Software is fully functional with Telemetry disabled and does not require an internet connection to operate. On sovereign and air-gapped builds, Telemetry transmission is absent by design.

7.4 No remote enablement

Arsenale cannot enable Telemetry, network participation (clause 10), or any data egress remotely. These are controlled only locally by you on the Appliance.


8. Updates and security

We may make updates available through a signed update channel. Feature updates require an active annual licence. Security updates are provided for the period stated in the Terms of Sale. You control whether and when to apply updates, except that we may designate a security update as mandatory where necessary to protect the integrity of the Software, with notice to you.


9. Support

Support is provided only at the tier stated in your order or annual licence. Without an applicable tier, the Software is provided without support, maintenance, or guaranteed updates beyond the security updates described above.


10. Optional network participation

The Software may include an optional capability allowing the Appliance to contribute spare compute to an Arsenale-coordinated network ("Network Participation"). Network Participation is opt-in, off by default, and controlled solely by you on the Appliance. It is not available on sovereign, government, defence, or air-gapped builds, where the capability is absent.

If you choose to enable it: (a) no Content is exposed; (b) Arsenale is not responsible for workloads coordinated through the network and provides no service level; (c) any benefit is provided as licence credit and not as cash unless separately agreed in writing; and (d) you may withdraw at any time. Separate network terms apply when this capability is offered. Until you opt in, this clause has no effect.


11. Warranties and liability

11.1 Limited warranty

We warrant that the Software will perform substantially in accordance with its documentation for ninety (90) days from first boot. Your exclusive remedy for breach of this warranty is, at our option, repair, replacement, or refund of the licence fee.

11.2 Disclaimer

Except as stated in clause 11.1 and to the extent permitted by law, the Software is provided "as is". We do not warrant that it will be uninterrupted or error-free, or that outputs will be accurate, complete, or fit for any particular purpose. AI-generated outputs may be wrong and must be independently verified before reliance.

11.3 Liability

Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by the Consumer Rights Act 2015 in the case of consumers, or for any liability that cannot be excluded under English law, including under the Consumer Protection Act 1987. Subject to that, and to the maximum extent permitted by law:


12. Export control and lawful use

The Software and Appliance may be subject to UK export controls administered by the Export Control Joint Unit and the UK Strategic Export Control Lists, and, where applicable, to the trade-control and sanctions laws of other jurisdictions. You confirm that you are not subject to any applicable restricted-party or sanctions designation, and that you will not export, re-export, or use the Software in breach of those controls or of clause 5.


13. Government and Crown users

Where you are a UK public-sector body, the Software is supplied as a commercial item on the terms of this Agreement, and any Crown use rights are limited to those expressly agreed in writing between the parties.


14. Term and termination

This Agreement applies for as long as you use the Software. We may terminate it if you materially breach it and fail to remedy the breach within thirty (30) days of notice. On termination you must stop using the Software. Clauses 4, 6, 7.1, 11, and 15 survive termination.


15. General

Changes. We may update this Agreement. Material changes take effect thirty (30) days after we make the revised Agreement available, except changes required by law or for security, which may take effect sooner. Continued use after the effective date is acceptance.

Assignment. You may not assign this Agreement without our consent. We may assign it to a successor in our business.

Entire agreement. This Agreement, the Terms of Sale, and the Privacy Policy are the entire agreement between the parties on their subject matter.

Severance. If any provision is held to be unenforceable, the remaining provisions continue in full force and effect.

Third parties. No person other than the parties has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce this Agreement.

Governing law. This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
