Part A · Terms of Sale

A.1 Definitions

In these Terms of Sale:


A.2 About us

Arsenale Limited is the seller of the Goods. Our VAT registration status is published on our invoices when applicable. Our trading address is the registered office above unless we notify you otherwise in writing.

These Terms of Sale apply to the supply of Goods by Arsenale to its customers. They prevail over any contrary or additional terms contained in any document issued by the Customer, except where we have expressly agreed otherwise in writing.


A.3 The order process

The order process is:

  1. You submit a reservation via the configurator at arsenale.ai/pricing.
  2. We confirm receipt by email containing your reference number (form: ARN-YYYY-NNNN).
  3. Within one (1) business day, we confirm availability and issue an invoice. The invoice sets out the agreed price, delivery estimate, and any specific terms relevant to the Order.
  4. The Contract is formed when you pay the invoice in full and we issue an order acknowledgement confirming acceptance of payment.

A reservation alone does not form a Contract. Either party may withdraw between reservation and order acknowledgement without liability beyond expenses already incurred at the other party's specific request.


A.4 Price and payment

Prices are as set out on our website at arsenale.ai/pricing or as specifically quoted to you. The launch price of the Arsenale Appliance is £2,499 per unit (excluding VAT where applicable) for a single-unit configuration; multi-unit configurations are quoted individually.

Payment is due in cleared funds prior to dispatch unless we agree otherwise in writing. Payment may be made by bank transfer to the account details on the invoice or by other method we agree.

All prices are exclusive of VAT unless stated. VAT, where applicable, is added at the prevailing rate. Customs duties, import taxes, and similar charges applicable to international delivery are the Customer's responsibility.

We reserve the right to vary published prices for future Orders. Variations do not affect Orders for which a valid invoice has been issued.


A.5 Delivery

Delivery is to the address you specify on the invoice. The estimated delivery window is communicated at the time of order acknowledgement; we use commercially reasonable efforts to meet estimated delivery dates but they are not contractually binding unless we explicitly state otherwise in writing for a specific Order.

Delivery within the United Kingdom is included in the published price unless stated otherwise. International delivery is available on request and quoted separately.

You must notify us within seven (7) days of delivery of any visible damage, missing items, or non-conformity to the Order. Notification after that period does not affect your statutory rights, but may delay our ability to resolve the issue.


A.6 Title and risk

Risk of damage to or loss of the Goods passes to the Customer on delivery.

Title in the Goods passes to the Customer on the later of (i) delivery and (ii) our receipt of cleared payment in full.

Until title passes, you must keep the Goods reasonably safe and identifiable as our property.


A.7 Hardware warranty

We warrant that the Goods will:

for a period of twelve (12) months from the date of delivery (the "Warranty Period"). The Warranty Period for replacement or repaired components runs from the date of replacement or repair, or expiry of the original Warranty Period, whichever is later.

The warranty does not cover defects arising from misuse, accidental damage, modification not authorised by us, use outside published environmental specifications, or fair wear and tear.

Where a defect within the Warranty Period is established, we will at our option (and as our sole obligation): repair the defective component, replace it with an equivalent component, or refund a proportion of the purchase price that fairly reflects the impairment of the Goods.

Statutory rights of consumers under the Consumer Rights Act 2015 are not affected by this section.


A.8 Software licence

The Goods include a copy of Syntex OS, the operating system and runtime developed by Arsenale Limited. By using the Goods, you accept a non-exclusive, non-transferable licence to use Syntex OS on the specific Arsenale Appliance with which it is supplied, for the duration of that appliance's operational life, subject to these Terms.

Five (5) years of Syntex OS security patches are included with the purchase of the Goods at no additional cost (the "Security Support Period"). The Security Support Period begins on the date of delivery.

You may not: (a) sub-licence, redistribute, or transfer Syntex OS to any third party (transferring the Goods themselves with the licence in place is permitted, subject to written notification); (b) reverse-engineer Syntex OS except as expressly permitted by applicable law; (c) remove or alter copyright notices.

We retain all intellectual property rights in Syntex OS. No rights are granted to you in respect of source code, internal architecture, or any element of Syntex OS not strictly necessary for normal operation of the Goods.


A.9 Annual licence (optional)

The Annual Licence is offered at £1,200 per year per appliance and provides:

The Annual Licence is optional. Operation of the Goods does not require it. Hardware warranty (section A.7) and the Security Support Period (section A.8) are not contingent on subscribing to the Annual Licence.

The Annual Licence is invoiced yearly in advance and is non-refundable once the relevant period has commenced.


A.10 Returns and cancellation

For Customers contracting as consumers (i.e. not in the course of a business): the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you the right to cancel a distance-sale Order within fourteen (14) days of delivery of the Goods, subject to specific conditions and excluding goods that are clearly personalised or made to the consumer's specification. Detail on the cancellation process is available on request.

For Customers contracting in the course of a business: returns are at our discretion and subject to written agreement. Return of Goods opened or used beyond what is reasonably necessary to inspect them will be subject to a restocking fee at our discretion.


A.11 Liability

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under English law, including liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) any breach of the terms implied by section 12 of the Sale of Goods Act 1979.

Subject to that:

For consumers, statutory rights under the Consumer Rights Act 2015 are not affected by this section. Some limitations above apply only to business customers to the extent that they would not be enforceable against consumers under that Act.


A.12 Force majeure

Neither party is liable for delay or failure to perform an obligation under the Contract (other than payment of money) to the extent caused by an event beyond that party's reasonable control, including but not limited to: acts of God, war, terrorism, civil disturbance, pandemic, government regulation or order, failure of suppliers, breakdown of communications, fire, flood, or industrial action. The affected party must promptly notify the other and use reasonable efforts to mitigate.


A.13 Other terms

Entire agreement. The Contract, together with these Terms and the documents referenced in it, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior oral or written communications.

Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect.

No third-party rights. No person other than the parties to the Contract has any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce its terms.

Notices. Notices under the Contract must be in writing and sent to the registered office of the recipient (or such other address as is notified for the purpose of receiving notices) or by email to the email address used by the recipient in relation to the Order.

Governing law and jurisdiction. The Contract is governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.


Part B · Website Terms of Use

B.1 About this site

This part applies to your use of the website at arsenale.ai and its subdomains (collectively, the "Site"). The Site is operated by Arsenale Limited, the entity described in section A.1 above.

By accessing or using the Site, you accept these Website Terms of Use. If you do not accept them, do not use the Site.


B.2 Acceptable use

You agree not to use the Site:

Coordinated security research conducted in good faith under our published vulnerability-disclosure policy (see arsenale.ai/trust and the security.txt file) is welcome and is not considered unauthorised access for the purposes of this section.


B.3 Intellectual property

All content on the Site — text, graphics, logos, images, audio, video, software, and the design, layout, and structure of the Site — is owned by Arsenale Limited or its licensors and is protected by United Kingdom and international intellectual-property laws.

You may view, download, and print Site content for your own personal or internal business use, provided that you do not modify it and that all copyright and other proprietary notices are retained. Any other use, including reproduction, distribution, transmission, modification, public display, or commercial use, requires our prior written consent.

The trade marks Arsenale and Syntex, and the Arsenale device mark, are unregistered trade marks of Arsenale Limited. No licence to use these is granted by your use of the Site.


B.4 Disclaimer and liability

The Site is provided on an "as is" and "as available" basis. While we take reasonable care in producing Site content, we make no warranties or representations as to its accuracy, completeness, or fitness for any particular purpose. Content on the Site is for general information and does not constitute financial, legal, regulatory, technical, or other professional advice. You should obtain specialist advice before taking, or refraining from, any action based on content from the Site.

To the fullest extent permitted by law, Arsenale Limited excludes liability for any loss or damage arising out of or in connection with your use of the Site, including (without limitation): direct, indirect, special, or consequential loss; loss of profit, revenue, or business; loss of data; loss of goodwill; and any loss arising from interruption of business.

Nothing in this section limits or excludes liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be limited or excluded under English law.


B.5 External links

The Site may include links to third-party websites or resources. Such links are provided for convenience only. We do not control, endorse, or accept responsibility for the content, availability, or practices of any linked third-party site or resource.


B.6 Changes to these terms

We may amend these Website Terms of Use from time to time. The "Effective" date at the top of this page will be updated when material changes are made. Your continued use of the Site following any amendment constitutes acceptance of the amended terms.

Amendments to Terms of Sale do not apply retrospectively to existing Orders. The version of these Terms in force at the time the relevant Contract was formed governs that Contract.


B.7 Governing law

These Website Terms of Use are governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute relating to your use of the Site.
